- Any warranty that defects in the Services will be corrected;

The Company does not warrant or make any representations regarding the use or the results of the use of the Services with respect to their correctness, accuracy, reliability, or otherwise. You assume the entire risk as to the quality and performance of the Services.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THAILAND, IN NO EVENT SHALL Business Net TH (PARRA PLUS SERVICES LLC), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, punitive, or exemplary damages;
- Loss of profits, revenue, data, business opportunities, or goodwill;
- Damages resulting from unauthorized access to or alteration of your transmissions or data;
- Damages resulting from any conduct or content of any third party on the Services;
- Damages resulting from the use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Notwithstanding the foregoing, if the Company is found liable for any damages, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total amounts paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim; or (b) One Hundred Thai Baht (THB 100).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; therefore, the above limitations may not apply to you to the extent prohibited by applicable law.
7. Indemnification
You agree to defend, indemnify, and hold harmless Business Net TH (PARRA PLUS SERVICES LLC), its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use of the Services in any manner not authorized by these Terms;
- Your violation of any applicable law or regulation;
- Any content you submit, post, or transmit through the Services;
- Your infringement of any third-party rights, including intellectual property or privacy rights;
- Any dispute between you and another user or third party arising from use of the Services.
The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with the Company's defense of such claim.

9. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Company is committed to protecting your personal data in accordance with the Thailand Personal Data Protection Act B.E. 2562 (2019) (PDPA) and any other applicable data protection laws.

10. Force Majeure
The Company shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to:

- War, invasion, acts of terrorism, riot, or civil unrest;
- Government actions, regulations, orders, or sanctions;
- Pandemics, epidemics, or public health emergencies declared by Thai or international health authorities;
- Strikes, labor disputes, or industrial actions;
- Failures of telecommunications networks, the internet, or third-party service providers;
- Power outages or infrastructure failures.
In the event of a force majeure occurrence, we will notify you as soon as reasonably practicable and will resume performance as soon as the circumstances permit.
11. Governing Law and Jurisdiction
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services that is not resolved through the dispute resolution procedures set forth in Section 12 below shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand. You irrevocably waive any objection you may now or hereafter have to the laying of venue of any such action or proceeding in such courts.
Applicable Thai laws include, but are not limited to: the Civil and Commercial Code of Thailand, the Computer Crime Act B.E. 2550 (2007) and its amendments, the Personal Data Protection Act B.E. 2562 (2019), the Electronic Transactions Act B.E. 2544 (2001), and the Consumer Protection Act B.E. 2522 (1979) and its amendments, where applicable.
12. Dispute Resolution

Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, both parties agree to first attempt to resolve the matter through good-faith negotiation for a period of not less than thirty (30) calendar days from the date one party notifies the other in writing of the dispute.
Mediation: If the dispute cannot be resolved through negotiation, either party may request mediation before a mutually agreed-upon mediator, or through the Thai Arbitration Institute (TAI) or the Office of the Consumer Protection Board (OCPB) under the Consumer Protection Act, as applicable.
Arbitration / Litigation: If mediation is unsuccessful or not pursued, any unresolved dispute may be submitted to binding arbitration under the Rules of the Thailand Arbitration Center (THAC), or alternatively, referred to the competent courts of Bangkok, Thailand, as the parties may agree. The language of arbitration proceedings, if pursued, shall be English or Thai, as mutually agreed.
Notwithstanding the foregoing, the Company reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm without the requirement to first engage in negotiation or mediation.
13. Modification of Terms
The Company reserves the right to modify, update, or replace these Terms at any time at its sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this page and, where reasonably practicable, provide notice via the email address associated with your account or through a prominent notice on the Services.
It is your responsibility to review these Terms periodically for any changes. Your continued use of the Services after any modifications to these Terms constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services immediately.

15. Severability

The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, in a manner consistent with the original intent of the parties.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and the Company's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices, policies, or guidelines published by the Company on the Services, constitute the entire agreement between you and Business Net TH (PARRA PLUS SERVICES LLC) with respect to your use of the Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties — whether written or oral — regarding the subject matter hereof.
In the event of any conflict between these Terms and any other agreement you may have with the Company, these Terms shall prevail unless the other agreement expressly supersedes these Terms in writing and is signed by an authorized representative of the Company.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, consistent with the Electronic Transactions Act B.E. 2544 (2001) of Thailand.
18. Waiver
No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege under these Terms.
19. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without the Company's prior written consent. The Company may freely assign or transfer these Terms or any of its rights and obligations hereunder without restriction. Any purported assignment in violation of this section shall be null and void.
